This End User License Agreement ("EULA") is entered into between Clearline and the organization or individual installing or using Clearline's software ("you"). It applies alongside, and does not replace, the Clearline Terms of Service, which govern your overall use of the Service. Where the hosted Clearline platform is concerned, this EULA covers your license to access and use it. Where Clearline provides a locally installed component, such as a connector agent that links Clearline to an on-premises accounting installation, this EULA also governs your license to install and run that component.
1. License grant
Subject to your compliance with this EULA and the Terms of Service, Clearline grants you a limited, non-exclusive, non-transferable, revocable license to:
- access and use the hosted Clearline platform for your organization's internal business purposes; and
- where applicable, install and run any Clearline-provided local connector component on systems you own or control, solely to connect that system to your Clearline account.
This license is granted only for the term of your Clearline subscription or authorized use of the Service.
2. Restrictions
You agree not to:
- copy, modify, or create derivative works of any Clearline software, including a local connector component;
- reverse engineer, decompile, or disassemble any Clearline software, except to the extent applicable law expressly permits despite this restriction;
- rent, lease, sell, sublicense, or otherwise make Clearline software available to any third party outside your organization; or
- remove or obscure any proprietary notices contained in the software.
3. Ownership
Clearline and its licensors retain all right, title, and interest in and to the software, including all intellectual property rights in it. No rights are granted to you under this EULA other than the limited license expressly set out above.
4. Local connector components
Where a locally installed component is used to connect Clearline to an on-premises system, that component is designed to communicate outbound to Clearline's cloud service and to your local accounting installation only, and does not accept inbound connections from the internet. You are responsible for the environment in which you install it, including keeping the host system secure and up to date. Clearline may release updates to the component to maintain compatibility, security, or performance; continued use of the component after an update is made available may be required to keep your integration functioning correctly.
5. Updates
Clearline may automatically update the hosted platform at any time. Updates to a local connector component may be delivered automatically or may require manual installation, depending on how the component is distributed. This EULA applies to all updates unless a separate license accompanies a specific update.
6. Term and termination
This EULA remains in effect until your license is terminated. Your license ends automatically if your Clearline subscription ends or if you breach this EULA. On termination, you must stop using the software and, for any locally installed component, uninstall it and delete any copies in your possession.
7. Warranty disclaimer
The software is provided "as is," without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
8. Limitation of liability
To the fullest extent permitted by law, Clearline will not be liable for any indirect, incidental, special, or consequential damages arising out of your use of, or inability to use, the software. This limitation applies in addition to, and does not replace, the limitation of liability in the Clearline Terms of Service.
9. Export compliance
You agree to comply with all applicable import, export, and re-export control laws and regulations in your use of Clearline's software.
10. Governing law
This EULA is governed by the same governing law provision set out in the Clearline Terms of Service.
